Investor Agreement

This Investor Agreement (the “Agreement”) is made and entered into this ­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­­_________________________________, 2024 (the “Effective Date”).  The Investors in this agreement are as follows:

  

The investors agree to the following:

To jointly acquire properties in Africa for the purpose of lodging /Accomodations for profit.

 

This Investment will be known as Gambia Real Estate investments 

The Investor:

The terms and conditions of their investment will be outlined in this Agreement.

If the Agreement is executed, the investment will be effective this date.

The Investment will only be terminated as outlined in this Agreement.

The Investment primary place of business will be Hamden Ct, 06514.

The Investment will be governed under the laws of the state of Conneciticut.

The Investment primary purpose is marketing/selling Vacation Properties.

 

Contribution:

The Investor will make an initial contribution to the Investment as follows:

Budget: Vacation property The Gambia $10,000

              

Contributions will be submitted no later than March, 21st 2024.  All capital contributions are final unless all partners give written consent of withdrawal.  

Interest and Authority:

The Partners’ ownership interest in the Partnership will be as follows:

@500    5%

@1000  10%

@1500  15%

@2000   20%

@2500   25%

@3000   30%

@3500   35%

@4000   40%

@4500   45%

@5000    50%

The Investmentauthority will be defined by the following unless otherwise stated in the Agreement: Any decisions requiring a contract or otherwise will require a unanimous vote by all Partners.

Costs:

The Partners will share costs according to the percentages stated above:

Profits:

The Investors will share the net profits of the investment according to the percentages above:

The Profits will be distributed Bi week once operation began. Invest will receive weekly investment reports. 

Partner Roles:

Management Roles:

MKN Enterprise will act as project management company and will be responsible for all day to day operations i.e. Marketing, human resources, customer service, hospitality and booking compounds. This management company will recieve 20 percent management fee.

Accounting:

All accounts related to the Investment including contribution and distribution accounts will be audited quarterly.

MKN Enterprises L.L.C. will keep accurate and complete books of account for all accounts related to the Partnership.  Any iInvestor, whether majority or minority, will be allowed to review all books of account at any time they request.

Accounting records will be kept on a cash basis.

The fiscal year will be complete on December first of each year.  All Investors will present their position on the state of the Investments within two weeks of the completion of each fiscal year.

Dissolution:

Should the Investment be dissolved by unanimous vote, the investor will be liquidated, and the debts will be paid.  All the remaining funds after debts have been paid will be distributed based on the percentage of ownership interest outlined in this Agreement.
